The presentation document has various names the CIM (Client Information Memorandum) , it can be called the “Book”, or any other name!
The normal information to be found there includes:
- The context: the market, the business proposal: sale of assets, shares, what %; what are the essentials of the transaction.
- The company and its key stages of development.
- Humans: shareholders, managers, organizational structure, employees.
- Finances: the balance sheet, income statements, receivables, inventories, and payables.
- Operations: who are the customers (we don’t normally name them at this stage – but we can characterize them, underline the dependencies, their particularities), who are the suppliers, the processes, R&D, the range of products and services, etc.
- Assets: what are the equipment and the real estate owned by the company.
The objective is to ensure that a potential buyer has a good understanding of the operations, and that a meeting with the buyer is most productive.
